DATA FEED TERMS

These Data Feed Terms (“Terms”) apply to the use of data and services provided by Vendortell ("we", "us", or "our"). By accessing and using our services, you ("User") agree to comply with these Terms.

1. Service Access and Use
   Vendortell provides Users with access to business information, vendor and contract management tools, and automated services designed to enhance purchasing decisions. These services, including our incentive calculators and contract monitoring features, allow Users to streamline operations and optimize vendor relationships.
   1. Authorized Use: You may only use Vendortell’s services for your internal business purposes, such as vendor and contract management, purchasing optimization, and performance monitoring.
   2. Restrictions: You shall not sell, distribute, sublicense, or otherwise provide access to the service or its outputs to third parties without written consent from Vendortell. You shall not use Vendortell’s services to engage in unlawful activities or violate the intellectual property rights of any party.
      
      
2. Accuracy and Limitations of Data and Calculations
   Vendortell utilizes automation and AI to provide insights into vendor management, contract performance, and incentive realization. While we strive for accuracy, Users acknowledge and agree that:
   1. No Warranties: Vendortell’s services, including data calculations, are provided “as-is” and “as available” without warranties of any kind. Vendortell does not guarantee the accuracy, completeness, or reliability of any data or calculations produced by our platform.
   2. Use at Own Risk: Users are responsible for interpreting and acting on any information provided by Vendortell. Vendortell shall not be held liable for any errors, miscalculations, or incorrect data outputs that may arise during use of the platform. Users should not rely solely on Vendortell's calculations for critical business decisions.
      
      
3. Data Integrity and Responsibility
   To ensure optimal service performance, Users must provide accurate and up-to-date purchase and contract data when using the platform. Vendortell is not responsible for inaccuracies arising from incomplete, outdated, or incorrect data input by the User.
   1. Third-Party Data: Vendortell may incorporate third-party data into its services. We do not guarantee the accuracy or completeness of this data and are not responsible for any errors or omissions it may contain.
   2. Data Protection: Vendortell complies with applicable data protection regulations. Users must ensure they have the necessary rights to share any data with Vendortell and agree to process such data in accordance with the platform’s intended use.
      
      
4. Liability and Indemnification
   1. Limitation of Liability: Vendortell shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data, resulting from the use of or inability to use the platform, even if advised of the possibility of such damages.
   2. Indemnification: Users agree to indemnify and hold Vendortell harmless from any claims, damages, losses, or expenses (including legal fees) arising from the User's misuse of the platform, violation of these Terms, or breach of any applicable laws or regulations.
      
      
5. Termination
   Vendortell reserves the right to terminate access to the service at any time without notice if the User is found to be in breach of these Terms or engaged in unlawful activity. Upon termination, all data and information obtained from the service must be deleted by the User, and further access to the platform is prohibited.
   
   
6. Governing Law
   These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Vendortell is headquartered, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

By using Vendortell, you acknowledge that you have read, understood, and agreed to these Terms, and you accept responsibility for ensuring compliance.
